The relationship between a company and its shareholders or between shareholders can be a source of great strength and impetus for a business but can also be distracting and highly counter-productive. Our experience in addressing shareholder matters enables us to assist in discussions with and resolve disputes concerning shareholders.

The rise in recent years of shareholder activism is an increasing consideration for companies and their boards. Shareholder activists are frequently highly experienced and financially well resourced. Invariably, they have undertaken extensive research on target companies. Being the subject of an activist campaign will consume substantial resources of the company and its board and senior executives. We work with our clients to prepare for the possibility of an activist approach and in the engagement and resolution phases of an activist campaign.

The level of information provided by companies to their shareholders and others in the context of continuous disclosure obligations or more broadly, is gaining increased attention. Allegations of shortcomings in disclosure are forming the basis of many class actions and other disputes. We are able to assist with the review of and investigations into our clients’ disclosure programs and compliance.
